Elon Musk Compensation
100% performance based - if the company does well, Elon is compensated. If the company does poorly, Elon gets nothing.
2012 compensation plan:
- 5 year plan concluding in 2017.
- 10 tranches of 527,490 options each, exercise price $31.17.
- Plan was structured such that for every $4 billion increase in market capitalization, paired with the achievement of one of the below operational milestones, Elon would receive a tranche of options. Market Cap was $3.2 billion at the time the plan was created.
- The 10 operational milestones for the 2012 Performance Award were:
- Successful completion of the Model X Alpha Prototype;
- Successful completion of the Model X Beta Prototype;
- Completion of the first Model X Production Vehicle;
- Successful completion of the Model 3 Alpha Prototype;
- Successful completion of the Model 3 Beta Prototype;
- Completion of the first Model 3 Production Vehicle;
- Gross margin of 30% or more for four consecutive quarters; (NOT ACHIEVED)
- Aggregate vehicle production of 100,000 vehicles;
- Aggregate vehicle production of 200,000 vehicles; and
- Aggregate vehicle production of 300,000 vehicles.
- Elon got 9 out of the 10 tranches which awarded him 4,747,410 options. The market capitalization was $52.4 billion at the end of 2017 at the conclusion of the plan. The only mark missed was the 30% gross margin milestone.
- It cost Elon roughly $148 million to exercise these options but obviously the stock was and is worth much more.
- The 2012 plan did not require Elon to hold the shares for a length of time (though he has).

- Plan was structured such that for every $50 billion increase in market capitalization, paired with the achievement of one of the operational milestones, Elon would receive a tranche of options. Market Cap was $59 billion at the time the plan was created. The first market capitalization milestone was set at $100 billion with the final milestone at $650 billion.
- The 16 operational milestones for the 2018 Performance Award are:
Revenue EBITDA $20B $1.5B $35B $3.0B $55B $4.5B $75B $6B $100B $8B $125B $10B $150B $12B $175B $14B Elon Musk currently owns 38,572,790 shares of Tesla for a 21.4% stake of outstanding shares.
- The market cap milestones must be maintained for a 6 month trailing period AND a 30 day trailing period to be considered achieved (average market cap over both of those periods must be higher than milestone level).
- Once a milestone is achieved, it cannot be revoked unless revised accounting shows it was never originally achieved.
- For the 2018 plan, Elon must hold the stock for 5 years after he exercises the options. Elon must pay taxes on his financial gain from exercising the options. The only stock sale allowed during the 5 year holding period would be to pay these taxes and/or to pay the price for exercising the options.
- Receiving all 12 tranches would grant Elon 20,264,042 million options. Which would cost him $7.1 billion to exercise. These shares would be worth at least $64.7 billion, assuming he holds them all at the time of the final tranche.
If Tesla hits all of the lofty goals laid out in Elon Musk's 2018 compensation package, Elon could have a stake of 29.3% or 58,836,832 shares.
As of the writing of this post, Tesla has a Market Cap of $159.9 billion. Tesla's 4 quarter trailing revenue is $24.6 billion. Tesla's 4 quarter trailing EBITDA is $2.985 billion.
Therefore, 2 operational milestones have been achieved thus far and a 3rd ($3.0 billion EDITBA) will likely be achieved as of Q1 2020. The $35 billion revenue milestone will likely also be achieved in 2020 for a 4th operational milestone.
Since the operational milestones are not currently a barrier, the average market capitalization will determine if Elon receives 0 or 4 tranches of stock options in 2020, or somewhere in the middle.
